Terms of Service

By accessing or using QuotesPilot ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is operated by Raphaël Thérien-Touchette ("we", "us", "our") from Quebec, Canada.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify active users of material changes via email.

QuotesPilot is a quote follow-up automation platform for residential contractors. The Service allows you to:

- Create, format, and send quotes to your clients

- Automate follow-up emails on pending quotes

- Manage a product and service catalog

- Build quotes from price lists or field notes using AI assistance

- Receive SMS and email notifications about quote status

- Manage team members with role-based access

- Optionally connect third-party services (e.g., QuickBooks) for data synchronization

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation.

Eligibility: The Service is intended for business use by contractors and their teams. You must be at least 18 years old to create an account.

Account creation: You register using a magic link sent to your email. You are responsible for maintaining the security of your email account, as it is the sole method of authentication.

Company accounts: When you create an account, a company workspace is created. You may invite team members who will share access to company data based on their assigned role (Owner, Admin, or Seller).

Account security: You are responsible for all activity that occurs under your account. Notify us immediately at support@quotespilot.com if you suspect unauthorized access.

You agree to use the Service only for lawful purposes. You may not:

- Use the Service to send spam, unsolicited communications, or harassing messages

- Upload malicious files, viruses, or harmful code

- Attempt to gain unauthorized access to other users' data or accounts

- Impersonate another person or entity

- Use the Service in violation of any applicable law or regulation

- Reverse engineer, decompile, or attempt to extract the source code of the Service

- Resell, sublicense, or redistribute the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms.

Ownership: You retain full ownership of all data you upload or create through the Service, including quotes, product catalogs, client information, and documents.

License to us: By using the Service, you grant us a limited license to process, store, and transmit your data solely for the purpose of providing the Service. We do not sell, rent, or share your data with third parties for marketing purposes.

AI processing: Parts of your data (quote content, documents, field notes) may be processed by AI systems (OpenAI) to extract, format, or analyze information. This is done solely to provide the Service features. See our Privacy Policy for details.

Data portability: You may request an export of your data at any time by contacting support@quotespilot.com.

Data deletion: You may request deletion of your account and associated data by contacting support@quotespilot.com. We will process deletion requests within 30 days, subject to any legal retention requirements.

The Service may integrate with third-party services, including but not limited to:

- QuickBooks Online: For synchronizing estimates, invoices, customers, and product data

- Twilio: For sending SMS notifications

- Resend: For email delivery

Your responsibility: When you connect a third-party service, you authorize us to access and interact with your data on that service as described in our Privacy Policy. You are responsible for maintaining your accounts with these third-party services and for complying with their terms of service.

Disconnection: You may disconnect any third-party integration at any time from the Settings page. Disconnection immediately revokes our access to that service.

Third-party availability: We are not responsible for the availability, accuracy, or reliability of third-party services. Changes to third-party APIs may temporarily affect integration functionality.

The Service sends emails to your clients on your behalf, including:

- Initial quote emails

- Automated follow-up reminders

- Quote acceptance confirmations

Your responsibility: You are responsible for ensuring that you have the right to contact the recipients. You must not use the Service to send emails to individuals who have not had a business relationship with you or who have not consented to receive communications.

Email content: While we provide templates, the content of quotes and associated information is provided by you. We are not responsible for the accuracy, completeness, or legality of quote content.

Anti-spam: We comply with Canada's Anti-Spam Legislation (CASL) and similar regulations. Follow-up emails are transactional in nature (related to a specific business quote) and include unsubscribe mechanisms. Abuse of the Service for unsolicited commercial messages will result in account termination.

When enabled, the Service may send SMS messages to your clients to notify them of new quotes.

Your responsibility: By enabling SMS notifications and providing client phone numbers, you represent that you have a legitimate business relationship with the recipient and that the SMS is transactional in nature (related to a specific quote they requested).

Costs: SMS delivery costs are included in your subscription. Standard message rates may apply to the recipient depending on their carrier.

Opt-out: Recipients can contact us to opt out of SMS notifications.

Pricing: The current plan is Accès Fondateur at $14.99 CAD/month (taxes may apply). We reserve the right to change pricing with 30 days' notice to active subscribers.

Free trial: New accounts receive a 30-day free trial with no credit card required. At the end of the trial period, a paid subscription is required to continue using the Service.

Automatic renewal: Subscriptions renew automatically every month on the same date as your initial payment. Your saved payment method on file with Stripe is charged automatically — no action is required from you. You will receive a payment receipt by email after each successful charge.

Payment processing: Payments are processed securely by Stripe, Inc. We never store your credit card details on our servers. By subscribing, you also agree to Stripe's Terms of Service (stripe.com/legal).

Cancellation: You may cancel your subscription at any time from the Settings page (Gérer mon abonnement) or by contacting support@quotespilot.com. Access remains active until the end of the current billing period. No refunds are provided for partial billing periods.

Failed payments: If a payment fails, Stripe will automatically retry over a period of up to 14 days. Your account will be flagged as past due during this time but access will be maintained. If all retries fail, your subscription will be cancelled and access will be restricted. You may resubscribe at any time to regain access — your data is retained.

Non-payment: Data is retained for 90 days after accountll receive a payment receipt by email after each successful charge.

Payment processing: Payments are processed securely by Stripe, Inc. We never store your credit card details on our servers. By subscribing, you also agree to Stripe's Terms of Service (stripe.com/legal).

Cancellation: You may cancel your subscription at any time from the Settings page (Gérer mon abonnement) or by contacting support@quotespilot.com. Access remains active until the end of the current billing period. No refunds are provided for partial billing periods.

Our IP: The Service, including its design, code, features, branding, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Service.

Your IP: We claim no ownership over the content you create or upload. Your quotes, product data, and business information remain yours.

Feedback: If you provide suggestions or feedback about the Service, we may use it to improve the Service without obligation or compensation to you.

No warranty: The Service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service.

Maximum liability: Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the total fees you paid to us in the 12 months preceding the claim.

AI disclaimer: AI-generated content (quote formatting, data extraction, product matching) is provided as an assistance tool and may contain errors. You are responsible for reviewing all AI-processed data before sending it to clients.

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

- Your use of the Service

- Your violation of these Terms

- Your violation of any applicable law or third-party rights

- Content you upload or transmit through the Service

- Emails or SMS sent to your clients through the Service

By you: You may stop using the Service and request account deletion at any time.

By us: We may suspend or terminate your account if you:

- Violate these Terms

- Use the Service for illegal purposes

- Fail to pay subscription fees

- Are inactive for more than 12 consecutive months

Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days to allow for data export, after which it may be permanently deleted.

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.

Any dispute arising from these Terms or your use of the Service shall be resolved in the courts of the judicial district of Montreal, Quebec.

Before initiating legal proceedings, you agree to attempt to resolve the dispute informally by contacting us at support@quotespilot.com. We will make reasonable efforts to resolve the matter within 30 days.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
